By creating an account or using DentalBridge you agree to these Terms. If you don't agree, don't use the service. Questions: hello@dentalxbridge.com.
1. What DentalBridge is
DentalBridge is a marketplace and deal-coordination platform for buying and selling dental practices. We introduce sellers to buyers and help coordinate the specialists (attorneys, lenders, CPAs, real-estate agents, photographers) who help close a transaction.
DentalBridge is not a broker-dealer, law firm, accounting firm, investment adviser, lender, title company, or real-estate brokerage. We do not provide legal, tax, accounting, or investment advice. You are responsible for engaging your own qualified professionals.
DentalBridge includes Luna, an automated AI deal coordinator. Luna helps organize your transaction, drafts suggestions and messages, distills documents you upload, and proposes valuation ranges. Luna is software, not a person, and her output may be incomplete, outdated, or wrong. Nothing Luna generates is legal, tax, accounting, financial, or professional advice, and no valuation she produces is an appraisal or a guarantee of price. Always review her suggestions with your own licensed professionals before you act, and verify any figure that matters to you. You can challenge, change, or override anything Luna proposes.
2. Your account
- You must be 18+ and legally able to contract.
- Provide accurate information and keep it current.
- Keep your password secret. You're responsible for activity on your account.
- Tell us right away if you suspect unauthorized access.
3. Listings & offers
- Sellers warrant that they have the right to list the practice and that the information they provide is true and not misleading.
- Buyers warrant that offers are made in good faith and that they have or will obtain the financing they represent.
- DentalBridge does not independently verify financials, licensure, or compliance claims. Buyers must conduct their own due diligence.
- Confidential information shared inside a deal room must not be disclosed outside it.
4. Fees
Membership tiers. Free accounts can browse listings and submit limited inquiries. Paid plans are billed annually via PayPal:
- Professional — $1,000/year: Unlimited listings, priority placement, AI deal coordination, full market data, and deal-team referral discounts.
- Elite — $2,000/year: Everything in Professional, plus DSO advisory access and white-glove onboarding.
We may change plan pricing with 30 days' notice; existing annual subscriptions are honored at the locked rate until the next renewal date.
Success fee. When a practice sale closes through a match originated on DentalBridge, we charge a success fee of 5% of the final gross sale price (the total consideration paid for the practice, before adjustments). This fee is earned only at closing — no sale, no fee. The exact dollar amount and who is responsible for payment are disclosed in the deal room prior to closing and must be agreed upon in writing before the transaction completes.
Referral compensation. DentalBridge may suggest third-party specialists (attorneys, accountants, lenders, real-estate agents, photographers) and may receive referral compensation from those partners when you engage them through the platform. This does not increase the price you pay, and you are always free to bring your own professionals instead. A suggested partner is not an endorsement; you are responsible for vetting and engaging anyone you choose to work with.
5. Refunds & Cancellation
14-day guarantee. If you are not satisfied, you may request a full refund within 14 days of the initial purchase date by emailing hello@dentalxbridge.com.
After 14 days. Paid plans are non-refundable after the 14-day window. You may cancel auto-renewal at any time; your access continues through the end of the paid period.
Success-fee disputes. If you believe a success fee was incorrectly charged, contact us within 30 days of closing. We will review and, where appropriate, issue a credit or refund.
6. Prohibited conduct
- Misrepresenting yourself, your practice, or your financials.
- Scraping, reverse-engineering, or bulk-exporting other users' data.
- Circumventing DentalBridge to contact counterparties off-platform for the purpose of avoiding fees, once a match has been made.
- Uploading malware, infringing content, or material that violates HIPAA or patient-privacy laws.
- Using the platform to violate any applicable law.
7. Intellectual property
You keep ownership of the content you upload. You grant DentalBridge a non-exclusive license to host, display, and transmit it as needed to operate the service. DentalBridge retains ownership of the platform, algorithms, and aggregate market data we publish.
8. Disclaimers
The service is provided "as is." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee a sale, a buyer, a price, or any particular deal outcome.
9. Limitation of liability
To the maximum extent permitted by law, DentalBridge's total liability for any claim arising out of the service is limited to the fees you paid us in the 12 months before the claim, or $100, whichever is greater. We are not liable for lost profits, lost deals, or consequential damages.
10. Indemnification
You agree to indemnify DentalBridge against any third-party claims arising from your use of the service, your listings, your offers, or your breach of these Terms.
11. Termination
Either party can end the relationship at any time. We may suspend or terminate accounts that violate these Terms. Sections that by their nature should survive (IP, disclaimers, limitations, indemnification, governing law) survive termination.
12. Confidentiality
What the platform protects. Seller identity and practice-specific financial details shared inside a deal room are treated as confidential. DentalBridge will not disclose this information to other users or the public without the seller's consent. Buyers who receive confidential information are bound by these Terms and any NDA they sign to keep that information confidential and use it only to evaluate the specific transaction.
Limits. Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was already known to the receiving party before disclosure; (c) is received from a third party without restriction; or (d) must be disclosed by law or court order. DentalBridge uses reasonable technical and organizational measures to protect data, but cannot guarantee absolute security of any information transmitted over the internet.
Luna's processing. Documents and financial data you upload may be processed by Luna (our AI system) to generate summaries, valuations, and deal-room communications. This processing occurs within the platform infrastructure. Luna's output is not shared externally except as part of your authorized deal room.
13. Privacy & Data Deletion
Data we collect. We collect information you provide directly (name, email, practice details, financial documents) and limited usage data (page views, feature interactions) for platform operation and improvement. We do not sell your personal information to third parties.
How we use it. Your data is used to operate the marketplace, facilitate transactions, send transactional emails (account, deal-room notifications), and — with your consent — marketing communications. We may share limited data with vetted transaction specialists when you request a referral.
Data retention. We retain account data for as long as your account is active and for a reasonable period thereafter for legal and business purposes. Deal-room records may be retained longer where required by applicable law.
Deletion requests. To request deletion of your personal data, submit a request through our contact page with the subject line "Data Deletion Request." We will process verified requests within 30 days, subject to any legal retention obligations. Note that anonymized or aggregated data derived from your account may be retained even after deletion.
California residents. If you are a California resident, you may have additional rights under the CCPA, including the right to know, delete, and opt out of sale. Contact us at hello@dentalxbridge.com to exercise these rights.
14. Governing law & disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. Disputes will be resolved by binding arbitration in Colorado under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction in Colorado.
15. Changes
We may update these Terms from time to time. We'll notify you by email or in-app for material changes. Continued use after changes means you accept the updated Terms.
