Refund & Cancellation Policy

This policy explains the billing terms for Dental X Bridge membership plans, the non-refundable valuation & proforma service fee, the success / facilitation fee, cancellation / break fees, and earnest money, and tells you how to request a refund or cancel. 1. Membership Tiers

Dental X Bridge offers the membership tiers below. Paid plans are billed annually through PayPal. Amounts marked [TO CONFIRM] are configurable and will be confirmed before charge.

Memberships are a one-time annual charge and do not auto-renew. Pricing may be updated with 30 days’ advance notice by email; active memberships are honored at the rate in effect at purchase through the end of the paid period.

2. Valuation & Proforma Service Fee — NON-REFUNDABLE

FEE DISCLOSURE: The optional valuation & proforma service carries a non-refundable flat fee of $4,000 [TO CONFIRM], charged when you order the service. This fee is fully earned when work begins and is NON-REFUNDABLE in whole or in part, regardless of the valuation result, whether you proceed, or whether any transaction closes. The valuation and proforma are informational estimates only — not a formal appraisal and not a guarantee of price or value. Reminder: Luna is automated software and is not a lawyer, accountant, or appraiser; review any valuation with your own licensed professionals.

3. Success / Facilitation Fee

When a dental-practice sale closes between parties matched or introduced through Dental X Bridge, a success / facilitation fee of 5% of the final gross sale price [TO CONFIRM] (total consideration, before adjustments) is earned at closing. No closing, no success fee. This is a marketplace and facilitation fee, not a regulated brokerage commission.

4. Cancellation / Break Fee — Liquidated Damages

If a party in an active, matched deal withdraws or cancels without relying on a contingency expressly stated in the parties’ written agreement or in our Terms, that party agrees to pay a cancellation / break fee of $[TO CONFIRM] (or [TO CONFIRM]% of the agreed purchase price, as disclosed in the deal room) as LIQUIDATED DAMAGES. This break fee is a reasonable pre-estimate of the marketing, coordination, and processing costs Dental X Bridge incurs, is disclosed up front before the deal becomes active, and is intended as liquidated damages and expressly NOT as a penalty. The break fee, once due, is non-refundable. It does not apply where a party exits in reliance on a stated contingency, including the due-diligence closing contingency in Section 5.

5. Earnest Money & Due-Diligence Closing Contingency

Where the parties agree to an earnest-money deposit, it is held in escrow by a third-party escrow agent or as the parties agree in writing; Dental X Bridge does not hold deposit funds. Refundability is tied to the due-diligence closing contingency:

Dental X Bridge is not a party to the purchase agreement and is not responsible for releasing, forfeiting, or returning any deposit; those matters are governed by the parties’ agreement and escrow instructions.

6. Membership Refunds

14-day satisfaction guarantee

If you are not satisfied with a paid membership plan, you may request a full refund of the membership fee within 14 days of the initial purchase date by emailing hello@dentalxbridge.com with the subject line “Refund Request” and your account name and email. Refunds are issued to the original PayPal payment method within 5–10 business days. This guarantee applies only to membership fees — it does not apply to the non-refundable valuation & proforma service fee, any cancellation / break fee, or any earned success / facilitation fee.

After the 14-day window

Membership plans are non-refundable after the 14-day window. You retain access to all plan features through the end of the annual period you paid for. We do not issue prorated refunds for unused time after the guarantee period.

Membership end & renewal

Membership is a one-time annual charge with no automatic renewal or recurring billing. At the end of your annual period your account reverts to the Free tier. To continue, manually purchase a new annual plan.

Upgrade or downgrade

Upgrading mid-year is charged at the new tier’s annual rate, with credit for the unused portion of your current plan applied to the new charge. Downgrades take effect at your next manual renewal.

7. Non-Refundable Fees — Summary

Except for the 14-day membership satisfaction guarantee in Section 6, all fees are non-refundable, including in particular the $4,000 [TO CONFIRM] valuation & proforma service fee, any cancellation / break fee, and any earned success / facilitation fee. This is consistent with our Terms of Service.

8. Success-Fee Disputes

If you believe a success / facilitation fee was applied incorrectly — for example, because the sale did not originate through a Dental X Bridge match — contact us within 30 days of the closing date at hello@dentalxbridge.com with the subject line “Success Fee Dispute.” We will review the deal-room record and, where appropriate, issue a credit or refund to the original payment method within 10 business days.
